Cydiance Software Terms of Service

These Terms of Service (“Terms”) govern your use of the Cydiance App (Android, iOS, and WeChat mini program) and the public Cydiance web pages used to track and view device data (together, the “Software”). The Software is provided by Shanghai Cydiance Technology Co., Ltd (“Cydiance”, “we”, “us”).

By downloading, installing, or using the Software, you accept these Terms. If you do not accept them, do not use the Software.

Trader information

Cydiance is a company established in the People's Republic of China. For the purposes of European Economic Area (EEA) and United Kingdom (UK) consumer law, Cydiance acts as a trader: the Software is provided in the course of our business, and it supports Cydiance monitoring devices that we sell commercially through authorized distributors.

The Software is provided free of charge. We do not currently sell digital content, subscriptions, or in-app purchases through the Software.

Scope

These Terms cover:

• the Cydiance App for Android, iOS, and the WeChat mini program;
• the public tracking pages at vista.cydiance.com/track and other public Cydiance pages that link to this document;
• firmware and app updates we distribute through those channels.

These Terms do not cover:

• the Connect platform or other business tools provided to distributors, which are governed by your separate distributor agreement with Cydiance;
• hardware, which is covered by the Cydiance Hardware Warranty Terms and by your contract of sale with your distributor.

Your agreement with the app store

If you obtained the Software from Google Play, the Apple App Store, or WeChat, the terms of that store also apply. Where those terms conflict with these Terms, the store's terms prevail to the extent required. The store operator is not a party to these Terms and is not responsible for the Software.

Accounts

Some features require an account. You agree to:

• provide accurate registration information and keep it current;
• keep your credentials confidential and not share them;
• accept responsibility for activity carried out under your account;
• notify us promptly at [email protected] of any unauthorized use.

We may suspend or limit an account where we reasonably believe there is a security risk, a breach of these Terms, or where required by law.

Licence

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable, royalty-free licence to install and use the Software on devices you control, for your own internal business or personal use, in accordance with our documentation.

You may not:

• sell, resell, sublicense, rent, or distribute the Software, or make it available to third parties as a service;
• reverse engineer, decompile, or disassemble the Software, except to the extent this restriction is prohibited by applicable law;
• remove or obscure copyright, trademark, or other proprietary notices;
• use the Software to build a competing product, or to extract data other than your own device data.

Cydiance and its licensors retain all rights not expressly granted.

Acceptable use

You agree not to:

• use the Software in breach of applicable law, including export control, sanctions, and data protection law;
• interfere with, disrupt, or overload the Software or the infrastructure behind it;
• attempt to gain unauthorized access to accounts, devices, or data that are not yours;
• upload malicious code, or use the Software to track devices or people without the authority to do so;
• misrepresent device readings, or alter exported reports in a way that could mislead a counterparty.

Device data and monitoring results

The Software is a monitoring and evidence-recording tool. Readings depend on how and where a device is placed, sensor exposure, battery state, mobile network coverage (including roaming), and calibration status.

Accordingly:

• data may be delayed, incomplete, or interrupted, particularly in transit, in remote locations, or across borders;
• the Software does not prevent spoilage and is not a guarantee of the condition of any cargo;
• you remain responsible for your own quality, compliance, and commercial decisions, and for keeping independent records where the law or a customer requires them.

Nothing in this section limits rights you may have under the Cydiance Hardware Warranty Terms or under mandatory consumer law.

Third-party services

The Software relies on third-party services, including mobile network operators and SIM providers, mapping and geolocation providers, hosting providers, and app stores. Their availability, coverage, and terms are outside our control, and we are not responsible for their acts or omissions.

Privacy

Our handling of personal data is described in the Privacy Policy. The Privacy Policy forms part of these Terms.

Updates and changes to the Software

We may release updates, and may require you to install a minimum supported version to keep using the Software. Features may be added, changed, or removed over time. Where reasonably practicable, we will give notice before discontinuing a material feature or the Software itself.

Fees

The Software is provided free of charge and contains no in-app purchases. If we introduce paid features in future, the price and terms will be presented to you before any purchase, and purchases made through an app store will be billed by that store under its terms.

Consumer rights (EEA and UK)

Nothing in these Terms excludes or limits any mandatory right you have as a consumer under the law of your country of residence.

Where you buy Cydiance hardware from an authorized distributor, your contract of sale is with that distributor. Statutory rights you have against the seller — including conformity and guarantee rights — are unaffected by these Terms, and our hardware warranty is additional to them. Any right of withdrawal you have in relation to a purchase is exercised against the seller of the goods, normally your distributor.

The Software itself is provided free of charge, so no payment obligation arises from these Terms.

Disclaimers

To the extent permitted by applicable law, the Software is provided “as is” and “as available”, without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, accuracy, and non-infringement.

We do not warrant that the Software will be uninterrupted, error-free, or free of harmful components, or that data will be transmitted or stored without loss or delay.

This section does not apply where a disclaimer is prohibited by law, including in relation to consumers in the EEA and the UK.

Limitation of liability

To the maximum extent permitted by applicable law:

• we are not liable for indirect, incidental, special, or consequential loss, or for loss of cargo or product, spoilage, business interruption, loss of profit, loss of goodwill, or loss of data;
• our total aggregate liability arising out of or in connection with the Software is limited to the greater of USD 100 and the amount you paid us for the Software in the twelve months before the event giving rise to the claim.

Nothing in these Terms limits liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, for gross negligence or wilful misconduct, or for any other liability that cannot be limited by law. This section does not affect your statutory rights as a consumer.

Indemnity

To the extent permitted by law, you agree to indemnify Cydiance against third-party claims, losses, and reasonable costs arising from your unlawful use of the Software or your breach of these Terms, including any claim that you monitored devices or individuals without authority.

Termination

You may stop using the Software at any time and uninstall it. We may suspend or terminate your access if you materially breach these Terms, if continued access creates a security or legal risk, or if we are required to do so by law. Where practicable, we will give you notice and a reasonable opportunity to export your data.

On termination, the licence in these Terms ends. Sections on device data and monitoring results, disclaimers, limitation of liability, indemnity, and governing law survive.

Changes to these Terms

We may update these Terms from time to time. The current version is always published on this page with its “Last updated” date. For material changes, we will provide reasonable advance notice through the Software or by email where we hold your address. Continued use after the effective date means you accept the updated Terms; if you do not accept them, stop using the Software.

Language

These Terms are published in English, Spanish, and Chinese. All three language versions are equally authentic, and are published and updated together. If there is any inconsistency between them, the English version prevails, except where the law of your country of residence requires otherwise.

Governing law and jurisdiction

These Terms are governed by the laws of the People's Republic of China, excluding its conflict-of-law rules.

If you are a consumer resident in the EEA, the UK, or another country whose law gives you mandatory protection, this choice of law does not deprive you of that protection, and you may bring proceedings in the courts of your place of residence where the law allows it.

If you use the Software in the course of a business, disputes are subject to the exclusive jurisdiction of the courts of Shanghai, China.
